Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Pro Distributor LLC ("Company," "we," "us," or "our"), the operator of LyricStamp (lyricstamp.com). By accessing or using LyricStamp in any manner, including but not limited to registering for an account, submitting lyrics, or processing a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately discontinue use of the Service. Use of the Service by any entity on behalf of a business or organization constitutes acceptance of these Terms by that organization, and the individual accepting on behalf of the organization represents that they have the authority to do so.

Users must be at least eighteen (18) years of age to enter into these Terms and create an account. The age requirement pertains to contractual capacity — not copyright ownership. Copyright protection attaches to original works of authorship regardless of the author's age under 17 U.S.C. §102. Minors under the age of eighteen who wish to use the Service must obtain verifiable parental or legal guardian consent, with the parent or guardian accepting these Terms on the minor's behalf and assuming full legal responsibility for the account.

2. Description of Service

LyricStamp is a digital timestamping and lyric authorship documentation service operated by Pro Distributor LLC. The Service allows songwriters, music publishers, record labels, and other rights holders ("Users") to submit original song lyrics and receive a time-stamped certificate ("LyricStamp Certificate") that records the existence of those specific lyrics at a specific date and time.

Each LyricStamp Certificate includes: (a) a unique alphanumeric Stamp ID; (b) a SHA-256 cryptographic hash of the submitted lyric content; (c) the date and time of submission recorded to the second; (d) the submitting account email address; and (e) a publicly verifiable record accessible at lyricstamp.com.

The Service also includes an AI-powered plagiarism screening tool, bulk CSV upload functionality for publisher accounts, an encrypted lyric vault, and API access for eligible account types. Each of these features is subject to the terms and limitations described herein.

3. No Copyright Substitute — Critical Limitation

The following limitations apply explicitly and without exception:

• No Federal Copyright Registration. A LyricStamp Certificate does not constitute registration of a copyright with the United States Copyright Office under 17 U.S.C. §408 or any equivalent agency of any foreign jurisdiction. Only registration with the U.S. Copyright Office confers the benefits of federal copyright registration under U.S. law.
• No Statutory Damages or Attorney's Fees. Under 17 U.S.C. §412, a copyright owner may only recover statutory damages and attorney's fees in an infringement action if the work was registered with the U.S. Copyright Office prior to the infringement, or within three months of first publication. A LyricStamp Certificate does not satisfy this requirement and does not entitle the holder to statutory damages or attorney's fees in any copyright infringement proceeding.
• No Presumption of Validity. Registration with the U.S. Copyright Office creates a legal presumption of the validity of the copyright and the facts stated in the registration certificate under 17 U.S.C. §410(c). A LyricStamp Certificate creates no such legal presumption.
• No Exclusive Rights Conferred. A LyricStamp Certificate does not grant, transfer, or create any exclusive rights under copyright law, including the rights of reproduction, distribution, public performance, public display, or the creation of derivative works under 17 U.S.C. §106.
• Evidentiary Value Not Guaranteed. While a LyricStamp Certificate may serve as supplementary evidence of the existence of specific lyric content at a specific date and time, its admissibility, weight, and relevance as legal evidence in any judicial, arbitral, or administrative proceeding is not guaranteed and is subject to the rules of evidence and the discretion of the relevant tribunal. Pro Distributor LLC makes no representation regarding the admissibility or legal effect of a LyricStamp Certificate in any proceeding.
• Authorship Not Verified. LyricStamp does not independently verify that the submitting User is the original author or rightful owner of the submitted lyrics. The Certificate reflects only that the submission was made by the registered account at the recorded time — not that the submitter authored the work.

4. LyricStamp Plagiarism Screening (LSPS™) — Proprietary System Disclaimer

All submitted lyrics undergo LSPS™ verification prior to the issuance of each LyricStamp Certificate. LSPS™ is a proprietary system developed and maintained exclusively by Pro Distributor LLC that employs a multi-layer methodology to evaluate submitted lyric content for potential originality conflicts.

How LSPS™ Works — General Description. LSPS™ evaluates submitted lyrics through a proprietary combination of: (a) internal database screening against the LyricStamp indexed catalogue of stamped works; (b) structured comparison against third-party lyric, musical composition, and rights data sources accessed pursuant to applicable terms of use, data agreements, or public availability, as determined by Pro Distributor LLC in its sole discretion; and (c) additional proprietary analytical processes developed and maintained by Pro Distributor LLC. The specific implementation, weighting, sequencing, data sources, and criteria of LSPS™ verification processes are proprietary trade secrets of Pro Distributor LLC and are not disclosed. Pro Distributor LLC reserves the right to modify, add, or remove any data source used in LSPS™ verification at any time without notice.

Scope of Database Coverage. LSPS™ screening currently operates against a database of indexed musical works and lyric content that Pro Distributor LLC updates on a continuing basis. The scope, coverage, and sources of the LSPS™ database are subject to change without notice as Pro Distributor LLC expands, modifies, or replaces data sources and third-party integrations in its sole discretion. No representation is made that the LSPS™ database covers all existing musical works in any jurisdiction.

Proprietary IP Reservation. LSPS™, including its name, methodology, screening logic, output format, result classifications, and database structure, constitutes proprietary intellectual property of Pro Distributor LLC. Users are expressly prohibited from: (a) reverse engineering, decompiling, or attempting to replicate the LSPS™ methodology; (b) using LSPS™ screening results to develop, train, or inform any competing screening system or service; (c) commercially exploiting LSPS™ output in any form not expressly authorized by these Terms; or (d) representing LSPS™ results as the output of any system other than LyricStamp.

The following limitations apply to all LSPS™ screening results:

• Not a Legal Clearance. An LSPS™ "pass" result does not constitute a legal clearance, legal opinion, freedom-to-operate determination, or guarantee that the submitted lyrics are original, non-infringing, or free from any third-party intellectual property claims under the laws of any jurisdiction.
• No Warranty of Accuracy. Pro Distributor LLC does not warrant the accuracy, completeness, currency, or reliability of any LSPS™ screening result. LSPS™ may produce false positive or false negative results. The absence of a conflict finding by LSPS™ does not mean no conflict exists.
• No Exhaustive Coverage. LSPS™ does not screen against all existing musical compositions, unpublished works, works not registered with any performing rights organization, or works not otherwise indexed in the LSPS™ database. Coverage limitations are inherent to any screening system and do not imply that unchecked works are clear of conflict.
• Block Results Not Determinative. An LSPS™ "block" result indicating identified similarities does not constitute a legal determination, expert opinion, or finding that the submitted lyrics infringe any copyright. Users who receive a block result are encouraged to consult a qualified music attorney before making any business or legal decisions based on that result.
• No Liability for Reliance. Pro Distributor LLC shall not be liable for any loss, damage, claim, legal proceeding, business decision, or other consequence arising from or related to reliance on any LSPS™ screening result, whether a pass, block, or any other classification.
• System Modifications. Pro Distributor LLC reserves the right to modify, update, retrain, replace, or discontinue any component of LSPS™ at any time without notice, including but not limited to its database sources, third-party integrations, and screening algorithms. Such modifications do not give rise to any claim for refund, credit, or damages.

5. User Representations and Warranties

By submitting lyrics through the Service, you represent, warrant, and covenant that:

• You are the original author of the submitted lyrics, or you are an authorized representative of the rights holder with full authority to submit the lyrics on their behalf;
• The submission of the lyrics through the Service does not violate any applicable law, regulation, or third-party right, including but not limited to copyright, trademark, trade secret, privacy, or publicity rights;
• The submitted lyrics do not contain content that is defamatory, obscene, threatening, harassing, or otherwise unlawful;
• All information provided in connection with your account and any submission is accurate, complete, and not misleading;
• You are at least eighteen (18) years of age, or have obtained verifiable parental or guardian consent.

You acknowledge that Pro Distributor LLC does not and cannot verify authorship claims, and that any misrepresentation constitutes a material breach of these Terms and may result in immediate account termination and potential legal liability.

6. Content License and Ownership

You retain full ownership of your submitted lyrics. Pro Distributor LLC does not claim any ownership interest in the lyric content you submit through the Service.

By submitting lyrics through the Service, you grant Pro Distributor LLC a limited, non-exclusive, royalty-free license to: (a) store, process, and encrypt your submitted lyric content for the sole purpose of generating and maintaining your LyricStamp Certificate; (b) compute and store a cryptographic hash of your lyric content; (c) display your Stamp ID, submission date, and hash on the public verification page at lyricstamp.com; and (d) retain encrypted copies of submitted lyrics in the Lyric Vault for dispute resolution purposes.

This license does not permit Pro Distributor LLC to sell, license, publicly perform, reproduce, distribute, or create derivative works from your lyric content for any purpose other than those expressly stated above. Your raw lyric text is stored exclusively in encrypted form using AES-256-GCM encryption and is accessible only through the administrative vault for dispute resolution purposes.

Pro Distributor LLC retains all intellectual property rights in the LyricStamp platform, including but not limited to the software, algorithms, user interface, brand identity, Stamp ID system, and all associated technology.

7. Pricing, Payment, and Refund Policy

Songwriter Accounts. Songwriter accounts are charged a per-stamp fee of $4.44 USD per stamp at the time of submission. Payment is processed through Square. No refunds are issued for completed stamps.

Publisher Basic Accounts. Publisher Basic accounts are charged $99.00 USD per 50-stamp block. Stamps do not expire. When the 50-stamp balance is exhausted, the account must reload for $99.00 to continue stamping. There are no monthly fees, no billing cycles, and no automatic renewals. Overage stamps — those submitted in excess of the available balance — are queued with a status of "pending payment" and are issued upon reload.

Publisher Pro Accounts. Publisher Pro accounts are charged a one-time fee of $499.00 USD per five-hundred (500) stamp block. Stamp blocks do not expire and may be used at the User's discretion. When the five-hundred stamp block is exhausted, Users may purchase an additional block at the then-current price. Unused stamps in a purchased block are non-refundable under any circumstance, including but not limited to account termination, voluntary cancellation, or cessation of business operations.

All Sales Final. All fees paid to Pro Distributor LLC are non-refundable except as expressly required by applicable law. Once a LyricStamp Certificate has been issued, no refund will be provided for that stamp regardless of the circumstances. In the event of a verified technical error on the part of Pro Distributor LLC that prevents proper issuance of a stamp, Pro Distributor LLC's sole obligation is to re-issue the stamp or provide a credit toward a future stamp.

Price Changes. Pro Distributor LLC reserves the right to modify pricing at any time upon thirty (30) days written notice to registered Users. Continued use of the Service following the effective date of a price change constitutes acceptance of the revised pricing.

Payment Processing. Payments are processed by Square, Inc. By providing payment information, you agree to Square's terms of service and privacy policy. Pro Distributor LLC does not store full payment card information on its servers.

8. No Warranty Disclaimer

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRO DISTRIBUTOR LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
• Any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
• Any warranty regarding the accuracy, completeness, reliability, or timeliness of any content, including Plagiarism Check results;
• Any warranty that LyricStamp Certificates will be accepted as evidence in any legal proceeding or will achieve any particular legal outcome;
• Any warranty that the Service will meet your specific requirements or expectations.

Pro Distributor LLC does not warrant that the Service will be available at all times or that data stored on its servers will be preserved indefinitely. While we employ commercially reasonable measures to maintain data integrity and availability, we do not guarantee against data loss. Users are encouraged to maintain independent records of their submitted lyrics and stamp certificates.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRO DISTRIBUTOR LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, goodwill, or business opportunities;
• The cost of substitute services;
• Any damages arising from reliance on a Plagiarism Check result;
• Any damages arising from the loss, corruption, or unauthorized access to submitted lyric content;
• Any damages arising from the failure of a LyricStamp Certificate to achieve a desired legal outcome;
• Any damages arising from service interruption, server downtime, or data loss.

IN NO EVENT SHALL PRO DISTRIBUTOR LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PRO DISTRIBUTOR LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Pro Distributor LLC and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your submission of lyrics that infringe any third-party copyright, trademark, or other intellectual property right;
• Your misrepresentation of authorship or authority to submit any lyric content;
• Your use of the Service in violation of any applicable law or regulation;
• Any content you submit, post, or transmit through the Service.

11. DMCA and Copyright Infringement

Pro Distributor LLC respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (17 U.S.C. §512). If you believe that content accessible through the Service infringes your copyright, please submit a written notice to our designated DMCA agent containing the following information:

• A physical or electronic signature of the copyright owner or authorized agent;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the material claimed to be infringing and sufficient information to locate it on the Service;
• Your contact information, including name, address, telephone number, and email address;
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

DMCA notices should be submitted to: stamps@lyricstamp.com with the subject line "DMCA Notice."

Repeat infringers will have their accounts terminated in accordance with Pro Distributor LLC's repeat infringer policy.

12. Account Termination

Pro Distributor LLC reserves the right to suspend or terminate your account and access to the Service, with or without notice, for any reason, including but not limited to:

• Violation of any provision of these Terms;
• Submission of lyrics you do not own or have authority to submit;
• Fraudulent, abusive, or unlawful use of the Service;
• Repeated submission of infringing content;
• Non-payment of fees due;
• Any conduct that Pro Distributor LLC reasonably determines to be harmful to the Service, other Users, or third parties.

Upon termination, your right to access the Service immediately ceases. Issued LyricStamp Certificates remain on the public verification record and are not deleted upon account termination. All fees paid prior to termination are non-refundable except as required by applicable law.

You may terminate your account at any time by contacting stamps@lyricstamp.com. Termination does not entitle you to a refund of any unused stamp allowance or block stamps.

13. Dispute Resolution and Arbitration

Binding Arbitration. Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Miami-Dade County, Florida, or by telephone or videoconference at the election of either party.

Waiver of Class Actions. YOU AND PRO DISTRIBUTOR LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Any arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Opt-Out Right. You may opt out of the arbitration agreement by sending written notice to stamps@lyricstamp.com within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you are opting out of arbitration.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 13, you consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

15. Modifications to Terms

Pro Distributor LLC reserves the right to modify these Terms at any time. We will provide notice of material changes by: (a) posting the revised Terms on lyricstamp.com with an updated effective date; and (b) sending an email notification to registered Users at the email address associated with their account at least fourteen (14) days prior to the effective date of material changes.

Your continued use of the Service following the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service before the effective date of the changes.

We encourage you to review these Terms periodically. The current version will always be available at lyricstamp.com/terms.html.
